Overview

Frank Lauletta is an experienced corporate attorney who has many years of “hands on” experience in private and public companies. His practice focuses heavily on representing and counseling a broad array of companies in corporate transactions such as venture capital, corporate finance, and mergers and acquisitions. Frank also has extensive experience representing companies and shareholders in connection with drafting and negotiating shareholders agreements and buy-sell agreements and also frequently represents clients involved in partnership disputes and shareholder oppression actions. with his broad legal experience, executive-level background, and extensive relationships in the legal, venture capital, and high technology communities, Frank is uniquely suited to serve as outside general counsel to clients. 


Working closely with executive management teams, Frank currently serves in this capacity to a number of software and other technology-based companies throughout the United States.


Frank is frequently relied upon to help develop sales, licensing and royalty-based models for companies in the software, cloud, energy, medical and other intellectual property and technology-based industries.  Frank also assists companies in developing their form sales, licensing, terms of use, distribution, employment and other agreements.  Since 1997, Frank has negotiated and closed hundreds of software licensing, distribution, technology, joint venture, construction and other complex agreements with dozens of Fortune 500 and international companies with annual transaction values ranging from hundreds of thousands to multiple millions of dollars. 


Frank also advises clients regarding data security measures and responding to security breaches involving sensitive personal information and protected health information under current data security laws that continue to evolve at a fast pace throughout the world.  He also works with clients to assess and implement appropriate data security safeguards and, if a data breach occurs, help his clients to ensure compliance and minimize exposure.

Professional Experience

From 2003 to 2007, Frank was General Counsel of KNOVA Software, Inc., a public company headquartered in Cupertino, California. KNOVA was acquired and taken private in 2007 by Consona Corporation.


From 2001 to 2003, Frank was a member of Cozen O’Connor practicing in the Philadelphia office of the firm’s Business Law Department. Here, Frank’s practice focused on representing and counseling emerging growth companies, and other private and public companies in venture capital financing, mergers and acquisitions, initial public offerings, and other matters of general corporate and securities law. Frank was also heavily involved in technology and software licensing, as well as structuring and negotiating joint ventures and strategic alliances.


From 1999 to 2001 Frank was General Counsel of eCal Corporation, a software company headquartered in Philadelphia, Pennsylvania. At eCal, Frank was a member of the executive management team and represented the company in numerous business, financial, and legal matters, including mergers and acquisitions, venture capital financing (the company raised in excess of $50 million from investors such as Reuters, Nokia Networks and DLJ Direct), securities laws (including the filing of an S-1 Registration Statement with the SEC), international expansion, software and technology distributions and licensing, strategic alliances, intellectual property and employment matters.


From 1996 to 1999, Frank was an associate of Dilworth Paxson LLP in the Corporate Law Department. After graduating from law school in 1995, Frank served as a judicial law clerk to Honorable James E. Rafferty of the Superior Court in New Jersey.

Frank Lauletta received his Juris Doctor degree (with tax honors) from Rutgers University School of Law in 1995. Before Law School, he graduated with a B.S. Degree from the University of Delaware (1992). He is admitted to practice law in the following jurisdictions:

Frank co-founded Incutate (www.incutate.com) and formed mentor alliances with hi-tech business incubators such as Rowan University’s Center for Innovation & Entrepreneurship. Through this program, Incutate provides legal, business, and strategic guidance to start-up and emerging growth technology-based businesses in the region.

Frank is a member of the Board of Directors of the A Step Towards Hope, a 501(c)(3) non-profit organization organized to provide assistance to those suffering with paralysis and other neurological disorders and to raise funds for research that aims to discover new treatments and cures for paralysis (www.asteptowardhope.org).

Personal Interests


Frank is an avid competitor and enjoys snowboarding, hiking, mountain biking and other outdoor activities.  He holds a black belt in Brazilian Jiu-Jitsu and finished 23rd out of over 600 finishers in the 2015 Goliathon Obstacle Course Event.
